Welcome to LimoStack (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at https://limostack.com/ (the “Site”), as well as any digital marketing services, search engine optimization (SEO), pay-per-click (PPC) ad management, website design, and marketing automation services provided by LimoStack (collectively, the “Services”).

By accessing our Site, scheduling a consultancy call, or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to all of these Terms, do not access the Site or use our Services.

1. Services Provided

LimoStack provides specialized digital marketing agency services tailored for limousine, black car, chauffeur, and luxury transportation operators. Our core offerings include, but are not limited to:

  • Pay-Per-Click (PPC) & Google Ads Management

  • Search Engine Optimization (SEO) & Local Map Pack Optimization

  • Custom Website Design & Funnel Development

  • Lead Nurturing & Automated Marketing Systems

  • Social Media Management & Branding

Specific scopes of work, deliverables, timelines, and pricing will be defined in individual Service Agreements, Statements of Work (SOW), or proposals executed between LimoStack and the Client.

2. Eligibility & Account Security

By using our Site and Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding contracts.

  • You are authorized to act on behalf of the business entity or luxury fleet operator engaging our Services.

  • All information provided to LimoStack during onboarding and ongoing campaigns is accurate, complete, and current.

You are responsible for maintaining the security of your own account credentials and administrative access provided to LimoStack for third-party tools (e.g., Google Ads, Google Business Profile, Domain Registrars).

3. Client Responsibilities & Content Approvals

To ensure optimal campaign performance, the Client agrees to:

  1. Access & Permissions: Provide timely administrative access to advertising accounts, website hosting, analytics platforms, and Google Business Profiles as necessary for LimoStack to perform the agreed-upon Services.

  2. Assets & Information: Supply high-quality media (fleet photos, logos, vehicle lists) and accurate business details (rates, service areas, contact information) required for marketing collateral.

  3. Approvals: Review and approve website copy, campaign frameworks, or design mockups in a timely manner. Delays in Client feedback may adjust project completion timelines.

  4. Legal Compliance: Ensure that all marketing claims, pricing, and services advertised through LimoStack comply with local, state, and federal ground transportation regulations and licensing requirements.

4. Fees, Ad Spend, and Billing Terms

a. Service Fees

Retainers, setup fees, and project-based design fees are billed as outlined in your specific Service Agreement. Unless explicitly stated otherwise, monthly marketing retainers are billed in advance on a recurring monthly basis.

b. Media & Ad Spend (Google/Meta)

Unless explicitly specified otherwise, ad spend (paid directly to advertising platforms such as Google Ads, Meta Ads, etc.) is separate from LimoStack’s management fees. The Client is responsible for maintaining an active credit card on file within their respective ad network accounts to pay media costs directly to the platform.

c. Payment Methods & Late Payments

Invoices are due upon receipt or according to the billing cycle set forth in your agreement. We reserve the right to pause active ad management, SEO work, or website hosting/support if payments are overdue by more than seven (7) business days.

5. Intellectual Property Rights

a. Client IP

Clients retain all rights, title, and interest in their existing trademarks, logos, proprietary images, and brand assets provided to LimoStack.

b. LimoStack IP & Work Product

Upon full payment of all applicable fees, the Client receives a non-exclusive license to use custom website designs, landing pages, graphic assets, and marketing copy created specifically for their campaign.

LimoStack retains full ownership of pre-existing intellectual property, proprietary software systems, internal frameworks, campaign structures, automated workflows, and agency-level analytics tools used to execute the Services.

c. Portfolio & Promotional Use

Unless otherwise agreed upon in writing via a Non-Disclosure Agreement (NDA), LimoStack reserves the right to showcase completed website designs, public campaign results, case studies, and non-sensitive performance metrics in our agency marketing materials and portfolio.

6. Third-Party Platforms & Search Engines

LimoStack manages campaigns across third-party platforms including Google, Meta, local business directories, web hosts, and CRM software. You acknowledge that:

  • Algorithm & Policy Changes: LimoStack has no control over third-party policies, algorithm updates, auction costs, or account suspensions initiated by platforms like Google or Meta.

  • Platform Downtime: We are not responsible for performance dips caused by third-party platform outages, server hosting failures, or external policy enforcement changes.

7. Performance Disclaimer & Warranties

  • No Guarantee of Specific Revenue: While LimoStack uses proven, industry-specific frameworks designed to generate high-ticket corporate and airport transfer bookings, we do not guarantee specific monetary results, revenue targets, conversion percentages, or specific organic ranking positions. Search engines and ad networks depend on factors outside LimoStack’s control (e.g., local market competition, seasonal demand, Client phone answering speed, vehicle availability).

  • “As-Is” Service: Our Site and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall LimoStack, its directors, employees, partners, or agents be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages (including loss of profits, fleet revenue, business opportunities, or goodwill).

  • Any damages resulting from unauthorized access to your servers, third-party software breaches, or domain/hosting downtime.

  • Aggregate liability exceeding the total amount paid by the Client to LimoStack during the three (3) months immediately preceding the event giving rise to the claim.

9. Cancellation & Termination

  • Termination for Convenience: Termination guidelines (such as 30-day written notice requirements) are governed by the specific Service Agreement signed by the Client.

  • Termination for Cause: LimoStack reserves the right to immediately suspend or terminate access to Services if the Client breaches these Terms, fails to pay fees when due, or engages in unlawful or unethical business conduct.

  • Offboarding: Upon termination and full settlement of unpaid balances, LimoStack will transfer ownership of client-specific assets and ad account admin privileges back to the Client.

10. Confidentiality

Both parties agree to hold in confidence all non-public proprietary information, campaign strategies, financial data, and client lists disclosed during the course of the business relationship, taking reasonable steps to prevent unauthorized disclosure.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LimoStack operates, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located within that jurisdiction.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. The updated version will be indicated by the “Last Updated” date at the top of this page. Continued use of our Site or Services following any changes signifies your acceptance of the revised Terms.
